1. Acceptance

These Terms of Use govern your use of activebusiness.ca and commerceactif.ca (the "Website"), operated by Active Business Inc. (also operating as Commerce Actif inc.) ("Active Business", "we", "us"). By using the Website, you agree to these Terms. If you do not agree, please do not use the Website.

2. General information only

The content of the Website, including articles, checklists, assessments and the franchise readiness scorecard, is provided for general information. It is not legal, financial, tax or accounting advice and should not be relied on as such. You should obtain professional advice for your specific situation.

3. No advisory or brokerage relationship

Using the Website, completing a form or contacting us does not create an advisory, brokerage or agency relationship. Such a relationship exists only once a written mandate or agreement has been signed by you and Active Business.

4. Businesses for sale

Information about businesses offered for sale is provided by the sellers or their representatives. We have not independently verified it and make no representation or warranty as to its accuracy or completeness. Listings may change, be withdrawn or be sold without notice. Any prospective buyer is responsible for conducting their own due diligence with professional advisers.

5. Confidentiality

Detailed information about a business for sale, or about a client, is released only after the recipient signs a confidentiality agreement. You agree not to contact the owners, employees, suppliers or customers of a listed business except through Active Business, unless we authorize it in writing.

6. Client pages

Pages presenting client businesses, their franchise opportunities or their expansion projects are published with the client's knowledge. They are not an offer to sell a franchise. Any franchise offer is made only through the documents and process required by applicable law.

7. Intellectual property

The Website and its content, including text, methods, assessment tools, graphics and the Active Business and Commerce Actif names, belong to Active Business or its licensors. You may view and print content for your personal, non-commercial use. Any other reproduction, distribution or adaptation requires our prior written consent.

8. Acceptable use

You agree not to:

• submit false, misleading or third-party information through our forms;
• use the Website to send unsolicited commercial messages;
• copy or extract content through automated means;
• interfere with the security or operation of the Website.

9. Third-party links

The Website may contain links to third-party websites. We do not control those websites and are not responsible for their content or privacy practices.

10. Limitation of liability

The Website is provided "as is". To the extent permitted by law, Active Business is not liable for any damage arising from the use of, or reliance on, the Website or its content, or from its unavailability. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the laws of Quebec.

13. Governing law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable there. Any dispute will be submitted to the courts of the judicial district of Montreal.

14. Language

These Terms are available in French and English. Both versions have equal value.
